“License” is the permission granted to you to access and use Content for personal learning purposes, as described in these Terms.

You are solely responsible for maintaining the confidentiality and security of your login credentials, including your username and password. You acknowledge that you are fully responsible for all activities that occur under your account, whether or not you personally authorized them.

If you suspect or become aware of any unauthorized access to, or use of, your account, you agree to notify Escentia immediately. You understand that Escentia may take any steps necessary to protect the Platform and its users, including suspending or restricting access to your account if suspicious or unauthorized activity is detected.

4.0   Use of the Platform

The Platform and all materials provided on it are intended solely for your personal, educational, and non-commercial use. When you access the platform, you are granted a limited, revocable, non-exclusive license to temporarily download and view one copy of any downloadable materials strictly for your own personal and transitory viewing. This is a license to use the materials, not a transfer of ownership and it is subject to strict limitations designed to protect the integrity and intellectual property of the content provided.

Under this license, you may not modify, copy, reproduce, or create derivative works from any of the materials. You are not permitted to use any content for commercial purposes or for any type of public display, whether commercial or non-commercial. You must not attempt to decompile, disassemble, or reverse-engineer any software contained on the platform, nor may you remove or alter any copyright notices or proprietary labels included with the materials.

You are also prohibited from sharing, distributing, transferring, sublicensing, selling, or mirroring the materials on any other server or platform. This license will automatically terminate if you fail to comply with any of these terms, and Escentia Ltd reserves the right to revoke your access at any time if it determines that you have misused the Platform or its materials. 

Upon termination of the license or once you no longer have access to the materials, you must permanently delete or destroy any copies you have downloaded, whether in electronic or printed form. By using the platform, you acknowledge and agree to abide by all of these restrictions and to use the content in a lawful, responsible, and respectful manner.

5.0   Payment and Refund Policy

Escentia Ltd offers paid courses and services that are subject to applicable consumer protection and e-commerce laws, including requirements related to refunds, accurate representations, and transparent pricing. All payments made on the platform are processed securely through trusted third-party payment service providers. By making a purchase, you acknowledge that these third-party providers handle your payment information and that your transactions are governed by their respective terms, conditions, and privacy policies.

All prices for courses and services are displayed in the applicable currency and may include any relevant taxes, such as Value Added Tax (VAT), Goods and Services Tax (GST), or other required charges, depending on your location. Escentia Ltd is committed to transparent pricing, and any taxes or additional fees will be disclosed at checkout before you complete your purchase.

You may cancel a purchase in accordance with the refund policy provided on the platform. Detailed information regarding refund eligibility, timeframes, and the steps to request a refund can be found at www.escentia.co.uk  Refunds will only be processed in accordance with the terms of that policy, and Escentia Ltd reserves the right to deny refund requests that fall outside the prescribed conditions.

If any courses or services are offered on a subscription or auto-renewal basis, the terms of such recurring billing will be clearly disclosed at the time of purchase. This includes the billing frequency, renewal dates, payment amounts, and instructions for modifying or cancelling your subscription. By enrolling in an auto-renewing service, you authorize Escentia to charge the applicable fees to your chosen payment method unless or until you cancel in accordance with the stated procedures.

By completing a payment on the platform, you agree to these terms and acknowledge your responsibility for understanding the charges, refund conditions, and subscription obligations associated with your purchase.

6.0   Intellectual Property

All content available on the Platform including but not limited to course materials, videos, graphics, text, downloadable files, design elements, trademarks, logos, software, and other proprietary assets - is owned by Escentia Ltd or licensed to Escentia Ltd  by third-party content providers. This content is protected by copyright, trademark, and other intellectual property laws in the applicable jurisdictions. Nothing in these Terms grants you ownership of any content you access; all rights not expressly granted are reserved by Escentia Ltd and its licensors.

When you use the platform, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the content solely for your personal, non-commercial learning purposes. This license does not allow you to reproduce, distribute, publicly display, modify, resell, sublicense, or create derivative works from any of the platform’s content unless Escentia Ltd has expressly authorized you to do so in writing. Any unauthorized use of the materials is strictly prohibited and may result in the suspension or termination of your account, as well as possible legal action.

If the Platform allows you to upload or submit content such as comments, reviews, feedback, or other contributions, you may do so only if you own the intellectual property rights to that content or have obtained proper permission to use it. Escentia Ltd does not control, endorse, or assume responsibility for the content, privacy policies, or practices of third-party websites or services. 13.0  Termination

Escentia reserves the right to suspend, restrict, or terminate your access to the platform at any time if you violate these Terms or engage in illegal or unauthorized activities. You may also terminate your account at any time by following the account deletion or deactivation procedures provided on the platform. Upon termination, you must immediately cease all use of the platform and destroy any downloaded materials in your possession, whether in electronic or printed form.

14.0  Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, United Kingdom. 

You agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the platform, or your relationship with Escentia must first be submitted to binding arbitration in the United Kingdom before any court action or other legal process may be initiated. Arbitration will be conducted by a recognized arbitration body in accordance with its rules and procedures.

You further agree that arbitration is the exclusive first method of dispute resolution, and no litigation or court proceedings may be commenced unless arbitration has been attempted and concluded, except where such a requirement is prohibited by law.

By accepting these Terms, you also waive any right to participate in a class-action or collective proceeding in relation to any dispute with Escentia Ltd, unless such waiver is not permitted under applicable law.

15.0  Amendments

Escentia Ltd reserves the right to modify, update, or revise these Terms at any time. Any changes will be posted on the Platform, and your continued use of the Platform after such updates constitutes your acceptance of the revised Terms. You are responsible for reviewing the Terms periodically to stay informed of any changes.

16.0  Miscellaneous

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall remain in full force and effect. Failure by Escentia Ltd to enforce any right or provision of these Terms shall not constitute a waiver of such right.
